Terms of Service

1. Acceptance and parties

These Terms of Service (“Terms”) form a binding contract between you (“Player”, “you”) and Ultimate Poker Holdings N.V., a company organised under the laws of Curaçao with registered office at Heelsumstraat 51, E-Commerce Park, Curaçao (“Operator”, “we”, “us”). By creating an account, depositing funds, or otherwise using the website at theultimatepokergame.com, the related desktop and mobile clients, and the application programming interfaces (collectively, the “Service”), you accept these Terms.

If you do not accept these Terms, do not register and do not use the Service.

2. Definitions

• Account — the unique user record you create to access the Service.
• Real-money play — any session played with funds you have deposited or won, as opposed to play-money chips.
• Bonus — promotional funds, tickets, or other value awarded under a specific promotion governed by the Bonus Terms.
• NGR — Net Gaming Revenue, defined in the Bonus Terms and Affiliate Agreement.
• Restricted Jurisdiction — any country, region, or territory listed on the Restricted Countries page or otherwise embargoed.

3. Eligibility

To open an account and play for real money you must:

1. Be at least eighteen (18) years of age and of legal gambling age in your jurisdiction, whichever is higher.
2. Have full legal capacity to enter contracts.
3. Not be a resident of, located in, or connected to a Restricted Jurisdiction.
4. Not appear on any economic-sanctions list maintained by the United Nations, the United States Office of Foreign Assets Control, the European Union, or the United Kingdom.
5. Not be a politically exposed person (“PEP”) without disclosing that status during onboarding.
6. Not be an employee, contractor, or close relative of an employee or contractor of the Operator, its affiliates, or any third-party engaged in operating the Service.

We may at any time require evidence of eligibility and may suspend the Account pending that evidence.

4. Your account

4.1 Registration

You must provide accurate, current, and complete information at registration and keep it up to date. One account per natural person. Multi-accounting — whether by you or someone acting on your behalf — is a material breach of these Terms.

4.2 Identity verification (KYC)

We are required by Curaçao law to verify your identity. You will be asked to submit documents through our verification provider. See our KYC Policy for the document list and processing times. We may freeze the Account and any associated funds while verification is in progress.

4.3 Account security

You are responsible for the confidentiality of your credentials and for all activity under your Account. Enable two-factor authentication. Tell us immediately if you suspect your Account has been compromised by emailing support@theultimatepokergame.com.

4.4 Dormancy

An Account with no real-money activity for twelve (12) consecutive months is classified as dormant. We may charge a reasonable monthly administration fee against any remaining balance after written notice. Balances unclaimed after seven (7) years are escheated in accordance with applicable law.

5. Deposits and withdrawals

5.1 Methods

We accept deposits and process withdrawals through the payment methods listed on our Banking pages. All amounts are denominated in United States Dollars (“USD”). Cryptocurrency deposits are credited at the spot rate at the time of confirmation.

5.2 Source of funds

You warrant that all funds you deposit are your own and lawfully obtained. We may request evidence of source of funds at any time, including but not limited to: bank statements, payslips, contracts of sale, and tax filings.

5.3 Withdrawals

Withdrawals are processed to the same instrument used for the corresponding deposit where reasonably practicable. We process withdrawals within one (1) business day of receipt of a complete and verified withdrawal request, subject to KYC, AML, and anti-fraud review. Cryptocurrency withdrawals may take longer when network congestion is high.

5.4 Fees

We do not charge a withdrawal fee for the first withdrawal per calendar month. Subsequent withdrawal fees, if any, are disclosed on the Banking pages. Network and third-party processor fees are passed through.

5.5 No interest

No interest accrues to player funds.

6. Player funds

Player balances are held in segregated accounts at regulated payment institutions, separate from operating capital. The Operator does not lend, pledge, or otherwise use player funds for its own purposes.

7. Fair play and prohibited conduct

You agree that you will not:

1. Open or operate more than one Account.
2. Allow another person to use your Account or play on your behalf.
3. Collude with one or more other players to fix outcomes, share hole-card information, or pool chips.
4. Use any software — including bots, automated decision aids, real-time assistance (“RTA”), or heads-up displays that exceed the policy published on the FAQ — to gain an unfair advantage.
5. Exploit any bug, defect, or unintended behaviour of the Service. Notify us instead.
6. Engage in chip dumping, soft play, or any arrangement to transfer chips or value between Accounts.
7. Engage in match fixing, including but not limited to deliberately losing in heads-up or final-table situations.
8. Use the Service to launder proceeds of crime, finance terrorism, or evade sanctions.
9. Harass, threaten, or impersonate other players, our staff, or third parties.
10. Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent that activity is expressly permitted by applicable law.

Breach of this section is grounds for immediate Account closure, forfeiture of bonus funds and unwithdrawable winnings, and notification of relevant authorities.

8. Game rules and fairness

Game rules are published in the How to Play section and form part of these Terms. Outcomes are determined by a cryptographically seeded random number generator described in our Fairness & RNG policy. Hand histories are made available to you in your Account.

9. Bonuses and promotions

Bonuses are governed by the Bonus Terms. Where any specific promotion’s terms conflict with these Terms, the promotion’s terms prevail for that promotion.

10. Intellectual property

The Service, including software, logos, content, and trademarks, is owned by the Operator or its licensors. We grant you a personal, limited, revocable, non-transferable, non-exclusive licence to use the Service for the purpose of playing the games made available to you. Nothing in these Terms transfers any ownership.

11. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided “as is” and “as available”. We disclaim all warranties not expressly given.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses.
• Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you deposited into your Account in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).
• Nothing in this section limits liability that cannot be limited under applicable law (including liability for fraud, wilful misconduct, or death or personal injury caused by negligence).

12. Indemnity

You agree to indemnify and hold harmless the Operator, its affiliates, and their respective officers, directors, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Service.

13. Suspension and termination

We may suspend or close your Account at any time for cause, including (without limitation) breach of these Terms, suspected fraud, regulatory direction, or risk to other players. You may close your Account at any time by contacting support@theultimatepokergame.com; funds will be returned subject to KYC and AML review.

Closure does not affect rights and obligations that by their nature survive (including sections 7, 10, 11, 12, 14, and 15).

14. Governing law and disputes

These Terms are governed by the laws of Curaçao. The courts of Curaçao have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms. The internal dispute path and escalation to the licensor are described on the Dispute Resolution page.

15. Changes

We may amend these Terms from time to time. Material changes will be posted on the Service and notified by email at least seven (7) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
